Responsibilities
- Board Administration: Manage preparation for board and committee meetings, prepare materials, maintain corporate records and minutes, advise on governance practices
- Entity Management: Oversee corporate structure, subsidiary governance, and ensure compliance with regulatory
- M&A Support: Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal perspective
- Develop and implement SOX compliance framework, if and when applicable, including internal controls, disclosure procedures, and certification processes
- Leadership: Build and lead Webflow’s corporate legal team, manage outside counsel relationships, and optimize and create scalable corporate legal processes and operations About you: Requirements:

Requirements
- JD degree with at least one active bar membership
- experience at a nationally-recognized law firm (required), and ideally a mixture of late stage private and public company experience •
- Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements •
- Experience with driving public company readiness, or managing public company compliance
- experience in technology or SaaS industry (preferred)

- We've structured the base pay ranges for this role into zones for our geographic markets, and the specific base pay within the range will be determined by the candidate’s geographic location, job-related experience, knowledge, qualifications, and skills. •
- United States (all figures cited below are in USD and pertain to workers in the United States)
- Zone A: $240,000 - $300,000
- Zone B: $225,000 - $282,000
- Zone C: $211,000 - $264,000
- This role is also eligible to participate in Webflow's company-wide bonus program.
- Target amounts are a percentage of base salary and vary by career level.
